Tri-Point Refrigeration, Inc. Warranty
This Warranty Agreement ("Agreement") is made and entered into by and between Tri-Point Refrigeration, Inc., ("The Company") and the customer ("Customer") who purchases products or services from The Company. By accepting services or products provided by The Company, the Customer agrees to the terms and conditions set forth in this Agreement.
1. Warranty Coverage
The Company warrants that the products and services provided to the Customer shall meet the following conditions, subject to the limitations and exclusions outlined in this Agreement:

Product Warranty:
The Company warrants that its manufactured equipment is free from defects in material and workmanship for a period of 12 months from the date of substantial completion of installation or service ("Warranty Period"). This warranty covers defects in material and manufacture, provided the Customer follows the operational and maintenance guidelines specified by The Company. -
Labor Warranty:
The Company warrants that the labor provided in connection with installation and service work is free from defects in workmanship for a period of 12 months from the date of substantial completion. This warranty is limited to labor only and does not cover refrigerant loss, failure caused by external factors, or defects related to the Customer's equipment or components provided by the Customer.
2. Non-Typical Installations
Any installation that is outside the scope of standard commercial refrigeration work, such as custom walk-ins, reach-in installations or ice machine installations, is deemed a "Non-Typical Installation." The Company provides warranty coverage for 180 days for Non-Typical Installations from the date of installation. This warranty period is reduced from the standard 12-month period due to the increased complexity or unique nature of these installations.
3. Repairs Warranty
Repairs performed by The Company are warranted for 60 days from the date of completion. This warranty covers only the labor and workmanship associated with the repair. Parts replaced during a repair may have separate warranty terms as determined by the manufacturer of those components. The repair warranty does not cover failure due to misuse, improper maintenance, or damages caused by external factors not covered by The Company's warranty.
4. Equipment Failure Under Manufacturer's Warranty
In the event that equipment fails within the warranty period and is still covered by the manufacturer’s warranty, The Company will submit a full warranty report to the manufacturer on behalf of the Customer. The Company will then handle the warranty claim process with the manufacturer, ensuring that all necessary documentation is provided. However, if the manufacturer agrees to cover part of the repair or replacement costs, the Customer will be billed for the difference between the actual cost of the job and the amount covered by the manufacturer’s warranty. The Customer is responsible for paying this balance promptly as per the standard terms of service. Invoicing for warranty repairs may take up to 90 days due to manufacturer's warranty policies and guidelines. The Company charges a $75 warranty processing fee to the Customer when processing manufacturer warranties.
5. Exclusions from Warranty Coverage
The warranty provided by The Company does not cover the following situations:

Wear and Tear: Normal wear and tear, including but not limited to corrosion, erosion, and deterioration, is excluded from warranty coverage.

Customer's Maintenance Failures: Failure by the Customer to follow The Company's recommended maintenance plan will void this warranty.

Modifications: Any modifications or alterations made by the Customer or third parties not authorized by The Company will void the warranty.

Acts of Nature: Damages caused by external factors such as floods, lightning, fire, and other natural disasters are excluded.

Loss of Refrigerant or Product: The Company is not liable for the loss of refrigerant, product, or inventory, whether due to equipment failure or other causes.

Third-Party Components: Any components that are not manufactured by The Company are excluded from this warranty. These components may be covered by their respective manufacturers’ warranties, which are the responsibility of the manufacturer, not The Company.
6. Warranty Claims Process
In the event that a defect covered under this warranty is discovered during the Warranty Period, the Customer must notify The Company promptly. The Customer must provide proof of purchase, detailed information regarding the defect, and allow The Company reasonable access to inspect and correct the defect.
The Company will, at its discretion, either:

Repair the defective part or equipment.

Replace the defective part or equipment with a new or refurbished part of equivalent quality and functionality.

Provide labor to replace the defective parts at no cost to the Customer, provided the defect falls within the scope of this warranty.
7. Limitation of Liability
The Company's liability under this warranty is strictly limited to the repair or replacement of defective parts or services. In no event shall The Company be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, loss of use, or loss of product, arising out of or in connection with the use or inability to use the products or services covered by this warranty.
8. Equipment Not Manufactured by The Company
Certain equipment and parts supplied by The Company may be warranted directly by the manufacturer of those components. In such cases, The Company’s warranty does not apply to those components, and the Customer must seek remedy through the respective manufacturer’s warranty.
9. Termination of Warranty
The warranty provided herein shall terminate upon the earlier of the following events:

Termination or cancellation of the Agreement between The Company and the Customer.

Failure to pay in full for the services or products covered under this Agreement.

The expiration of the applicable warranty period.
10. No Other Warranties
The Company makes no representations or warranties other than those expressly stated in this Agreement. The warranty provided herein is in lieu of all other warranties, expressed or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
11. Mold, Fungal, and Bacterial Growth Disclaimer
Unless expressly warranted in writing for specific products, The Company makes no representation or warranty regarding the prevention of mold, fungus, bacteria, microbial growth, or any other contaminants by the work performed or equipment provided. The Company specifically disclaims any liability for the use of its work or products in preventing or inhibiting the growth of such materials.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
